CoPack Connect Platform Terms of Use

Welcome to CoPackConnect.com! By accessing or using our platform, you agree to be bound by these Terms of Use. Please read them carefully.

1. Platform Access and License

CoPack Connect grants you a limited, non-exclusive license to access and use our platform and associated data for its intended purposes. We retain all rights to our proprietary information, including the platform, data, and services.

2. User Responsibilities

You are responsible for all activity on your account. Prohibited activities include:

Using the platform in ways that cause damage or are unlawful
Sharing access with unauthorized third parties
Attempting to reverse engineer or recreate the platform
Creating derivative works based on our platform or data

We reserve the right to modify the platform and suspend access if we believe you’re violating these terms.

3. Confidentiality

Both parties agree to protect each other’s confidential information, limiting its use and disclosure to authorized personnel who need it to fulfill obligations under these terms.

4. Data Privacy and Usage

We may collect and use data related to your platform usage for operational, support, and compliance purposes, as well as to improve our services. You grant us the right to use this data to enhance our products, provided it’s anonymized.

5. User-Generated Content

By posting content on the platform, you grant us a license to use, modify, and distribute it. We may remove or modify user content at our discretion. When posting factual information, you are asserting it to be valid and accurate and that you have permission to post such content.

6. User Accounts

To access certain features, you must create an account with accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. CoPack Connect reserves the right to suspend or terminate accounts at its discretion.

7. Subscription and Payments

If you opt for a paid service, you agree to pay the specified fees. Payments are processed through designated payment methods, and you must ensure you have the authority to use the chosen payment method. Prices are subject to change, but CoPack Connect will provide advance notice of any price increases.

8. Automatic Renewal

Subscriptions automatically renew at the end of each term unless canceled. The renewal will be for the same duration as the original subscription, and you will be charged the current rate for the service.

9. Representations and Warranties

Both parties represent they have the authority to enter into this agreement. You agree to comply with applicable laws in your use of the platform.

10. Fees and Payment

Fees for platform services will be outlined in a separate agreement. Unless otherwise agreed between the parties, all transactions are handled through our credit card payment processor.

11. Disclaimer of Warranty

The platform and services are provided “as is” without warranties of any kind, express or implied.

12. Limitation of Liability and Indemnification

Neither party shall be liable for special, indirect, or consequential damages. Our total liability is limited to the fees paid in the 12 months before a claim. You agree to indemnify us against third-party claims arising from your use of the platform.

13. Term and Termination

These terms remain in effect until terminated. You may terminate by ceasing use of the platform and closing your account. We may terminate your access at any time without notice.

14. Governing Law and Jurisdiction

These terms are governed by New York law, with exclusive jurisdiction in San Diego County, California for non-arbitrated matters.

15. Arbitration

Disputes will be resolved through binding arbitration in San Diego County, California under AAA Commercial Arbitration Rules.

17. Miscellaneous

These terms constitute our entire agreement. We may assign our rights and obligations, but you may not without our consent. Failure to enforce any provision doesn’t waive our right to do so later.
